Information for all TD Direct Investing International customers

Dear Client,

As previously announced, we have separated from TD (the Toronto-Dominion Bank) and have been acquired by majority shareholder J.C. Flowers & Co, a leading US private investment firm with holdings in the global financial services industry.

Many of you will remember our pioneering days of bringing online stock trading to international clients out of Luxembourg. We were at the forefront of the digital investing revolution, saving you from phone calls to your broker, and a lot of money. Since then, we have added a wide range of active investing and financial services aimed at global citizens like you, including US stocks, ETFs and multicurrency deposits. But certain things have remained the same. We are still an international, multilingual team serving clients across the globe. We are still based in Luxembourg, and we still offer the safety and stability that comes with being a member of the Luxembourg Deposit Guarantee Fund (FGDL), with guarantees up to €100,000. And we are still pioneers. Indeed, we have grown to over $2 billion in assets under management, during our 16 years of serving the unique needs of global citizens.

We now want to celebrate our pioneering spirit by serving you under a new but familiar name: Internaxx.

You will continue to enjoy the same industry-leading client service

We will continue our commitment to providing you the best service and value in the industry and dedicate our offering to the global citizens of today. Whether you’re a contractor in Abu Dhabi, the new VP for Asia-Pacific, freelancing from Dublin, or setting up a language school in Thailand, Internaxx knows how to help you keep your investments available and safe.

How will this change affect you?

Rest assured, you won't notice any change in your daily interactions. Your account will still be based in Luxembourg and our same international investment representatives will continue to serve you. You can continue to trade and manage as you do today, with no change to your login or trading process.

Backed by J.C. Flowers & Co., with over $15 Billion of capital invested (including ownership of Interactive Investor, a leader in direct investing and financial publishing in the UK), we will continue to enhance our service to you and rededicate our focus towards providing industry-leading value and technologies for the ever-changing needs of international investors like you. Internaxx has been one of the most trusted and innovative names in international direct investing for over 16 years. We're proud to be back as a leader in active investing and financial services for global citizens, and we are excited about our future.

Questions and Answers

    • TD Direct Investing International has been sold by the TD Bank Group and acquired by J.C. Flowers & Co. a leading US private investment firm with holdings in the global financial services industry. J.C. Flowers & Co. is a leading private investment firm dedicated to investing globally in the financial services industry, with approximately $15 billion of capital invested and investments in 49 Banks and financial services companies across 16 countries. Together with specialists from J.C. Flowers & Co, after consultation with all our stakeholders and through listening to our customers, we decided to move forward under the name that started us off on our pioneering journey back in 2001, while continuing to expand the breadth of our offer, including US stocks, ETFs and multicurrency deposits. Providing industry-leading active investing and financial services for expats and global citizens, we are thrilled to start serving you once again as Internaxx.

    • We announced in October 2016, that TD Bank Group had decided to sell its European Direct Investing business to enable it to focus on growth of its core businesses in North America and that subject to regulatory approvals, an agreement to sell TD Direct Investing International to new majority shareholder J.C. Flowers & Co. a leading private investment firm dedicated to investing globally in the financial services industry, had been reached.

    • Receiving regulatory approval from the European Central Bank (ECB) and Commission de Surveillance du Secteur Financier (CSSF) for the acquisition of TD Bank International by J.C. Flowers & Co, means Internaxx Bank retains its full bank status and license in Luxembourg. As such, we remain a member of the Luxembourg Deposit Guarantee Fund (FGDL). The FGDL protects all investors by guaranteeing deposits up to the amount of €100,000 per person. Operating in one of Europe’s major financial centres, Luxembourg is currently host to over 140 Banks and is the 2nd largest Mutual Fund centre in the world after the US, administrating 3.7 trillion euros in assets. The Grand Duchy of Luxembourg is renowned for its stable and well-regulated economy, is one of only 2 AAA credit rated countries in the Eurozone and has strong investor protection laws.

    • The square, green TD shield will disappear and we are unveiling a fresh new Internaxx logo. It will reflect our values as a company focused on providing industry-leading active investing and financial services. As we move towards a stronger focus on global citizens – expatriates, international investors, and people living and working across borders – we decided that it was important to evolve our branding as well.

    • No, our customers can be assured of receiving the same, award-winning services. We will continue to provide a range of active investing and financial services for global citizens, including our multicurrency deposit account available in 9 currencies, stock and fund trading on 18 international exchanges, a wide array of exchange traded funds and products, the ability to trade across web and mobile applications, access to advanced trading platforms and products, and access to our multilingual customer support team.

We’ve returned to the Internaxx brand name as a symbol of being an innovative financial services firm solely focused on the needs of international investors. You can be assured that we will listen to your needs and continue to shape and offer products and services that help you create a safe home for your wealth as you navigate your own personal international experience.

    • We are not changing our pricing as we rebrand to Internaxx.

    • Yes. Our multilingual, international team in Luxembourg will still be ready to take your call, and all Internaxx accounts are subject to Luxembourg’s strict banking and privacy laws. We are regulated by the Commission de Surveillance du Secteur Financier (CSSF) in Luxembourg under the oversight of the European Central Bank. The Luxembourg financial centre numbers over 140 Banks and is the 2nd largest Mutual Fund centre in the world after the US. Renowned for its stable and well-regulated economy, Luxembourg is one of only 2 AAA credit rated countries in the Eurozone and has strong investor protection laws. • We’re not making any changes to how we protect our customers against the risk of identity theft and financial crime and will continue to employ the latest security encoding, which requires at least 128-bit encryption. As has always been the case if you do not have a browser that supports this level of encryption, we strongly recommend that you upgrade to the newest browser family available.

    • Your account IBAN‘s and our SWIFT / BIC code remains the same as indicated on our ‘Fund my account page’ once you’ve logged into your account. However if your web-banking system requires it, our new name, Internaxx Bank S.A., should be used as the receiving bank name, from 02.06.2017.

While our name is updated in the SWIFT directory, your bank may still reference our BIC TDWLLULL as TD Bank International SA. Whichever name is used, we’ll still receive your funds and credit your account accordingly.

    • We are not changing how we manage and protect your personal data as we rebrand to Internaxx. Our standards are fully compliant with Luxembourg and EU Data Protection Laws.
